Special Purpose Acquisition Company ("SPAC") Impact on MedTech Program Description This past year has been a boom for Special Purpose Acquisition Companies or "SPACs". Blank check companies have created a lot of exit opportunities for some investors in the industry. What does it mean for other investors, strategics, and emerging MedTech companies?

Seth Damergy, Managing Director, Global Healthcare Group – Medical Devices and Technologies, UBS, will be the keynote speaker. He will be joined by John Delgado, Associate Director, Equity Capital Markets, UBS, and Michael Fantozzi Managing Member Mintz. They will discuss SPACs, what they are, who they benefit and key considerations when sponsoring or merging into. There will be a moderated Q&A period open to everyone.

Mr. Damergy most recently worked in Deutsche Bank's Healthcare Investment Banking Group where he was the Head of the Global Medical Device and Technology practice that he built from the ground up.

Seth Damergy, Managing Director, Global Healthcare Group – Head of Medical Devices and Technologies, UBS

Seth Damergy is a Managing Director and the Head of Medical Devices and Technologies banking at UBS in the Global Healthcare Group. Mr. Damergy most recently worked in Deutsche Bank's Healthcare Investment Banking Group where he was the Head of the Global Medical Device and Technology practice that he built from the ground up. Prior to joining DB's Healthcare Investment Banking Group, Mr. Damergy spent four years in its Equity Research department, where he covered large, mid and small cap medical device companies.

Before joining DB, Mr. Damergy spent six years at Bristol-Myers Squibb holding positions in operations, business development and internal audit. He started his career at Arthur Andersen LLP, where he focused on tax accounting and became a licensed NY CPA.

Mr. Damergy received a B.S. in Accounting from Villanova and earned his MBA from NYU's Stern School of Business.

John Delgado, Associate Director, Equity Capital Markets – Permanent Capital Solutions, UBS

John Delgado is an Associate Director at UBS in the Equity Capital Markets Group. Mr. Delgado previously recently worked in UBS' Financial Institutions Group with an emphasis covering clients on the Specialty Finance and Permanent Capital sectors. Prior to joining UBS, Mr. Delgado worked Deutsche Bank's Financial Institutions Group.

Mr. Delgado received a B.S.B.A in Accounting & Finance from Georgetown University's McDonough School of Business.

Michael L. Fantozzi, Member/Managing Member, Boston Office; Chair, Corporate, Tax, Private Client & Immigration Division, Mintz

Michael is a senior member of both the Securities Practice and the Mergers & Acquisitions Practice at Mintz, an Am Law 100 firm. He represents public and private companies with an emphasis on financing transactions, mergers and acquisitions, and corporate governance issues. Michael has extensive mergers and acquisitions experience as both purchaser’s and seller’s counsel and has represented issuers in numerous public offerings. Michael also plays a vital role in firm management: he is Managing Member of the firm’s Boston office, serves on the firm’s Executive Committee, and is the Division Head for the firm's Corporate, Tax, Private Client, and Immigration Sections.

Mr. Fantozzi received his JD from the University of Notre Dame and his BA from Boston College.

John R. Frey, Senior Managing Director, Foreign Exchange Division, First Republic Bank

John R. Frey is a Senior Managing Director in the Foreign Exchange Division at First Republic Bank. As a currency advisor, John is responsible for providing risk management solutions to alternative asset firms, life science, biotech, corporate clients and high net worth individuals throughout the bank's footprint. John joined First Republic Bank in 2011.

Prior to joining First Republic Bank, Mr. Frey worked at Morgan Stanley as a client service associate, where he managed business development and day-to-day client needs.

Mr. Frey earned his Bachelor of Science degree in Business Administration & Small Business Management from Southern New Hampshire University.

Darius Shahida, Chief Strategy Officer and Chief Business Development Officer, Butterfly Network

Darius is Chief Strategy Officer and Chief Business Development Officer at Butterfly Network, where he leads the company's fundraising, business development, global health and strategic efforts. In 2018, and while a student at HBS, Darius raised $250 million dollars for Butterfly Network - the largest medical imaging raise in history. In 2020, Darius led Butterfly's $1.5BN Enterprise Value merger with Longview Acquisition Corp., which resulted in the public listing of "BFLY" on the NYSE in Q1 of 2021. Since he joined Butterfly / 4Catalyzer in 2018, Darius has led over $1 Billion in capital raising. Darius holds an MBA from Harvard Business School and a B.S from Duke University, where he studied Neuroscience and Psychology, and worked for Dan Ariely, one of the world’s foremost Behavioral Economists.
